Terms of Service

Effective date: July 15, 2026

1. The service

Basient provides an API gateway that routes, governs and meters requests to third-party LLM providers ("Service"). We do not provide the models themselves; provider availability is subject to upstream terms.

2. Accounts & acceptable use

One organization per account; you are responsible for credentials issued to your tenants. No use for: unlawful content, violating upstream provider policies, attempting to break tenant isolation, or benchmarking for a competing gateway without written consent.

3. Customer data

You own your data. We process it per the DPA and Privacy Policy. Zero-retention mode is available on all paid plans. We never train models on your data.

4. Fees

Per the pricing page or order form. Usage metered in tokens routed; metering records are authoritative absent manifest error. Payment terms: net 30.

5. SLA

Enterprise: 99.99% monthly uptime; service credits per the SLA schedule in your order form. Exclusions: upstream provider outages beyond our failover pool, force majeure, customer misconfiguration.

6. Warranties & liability

Service provided "as is" beyond express commitments. Liability cap: fees paid in the 12 months preceding the claim; no indirect or consequential damages. Nothing limits liability for gross negligence, willful misconduct or breaches of confidentiality obligations.

7. Term & termination

Monthly or annual term, per the order form; either party may terminate for material breach after a 30-day cure period. On termination: export window of 30 days, then deletion per the DPA.

8. Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules. Disputes: binding arbitration in Wilmington, Delaware, under AAA Commercial Arbitration Rules.
